Terms of Service

1. Acceptance of Terms

By accessing or using the Knightly mobile application and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Trade with Adam LLC ("we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. App License

The Knightly mobile application is licensed, not sold, to you. Trade with Adam LLC ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to use the application on any Apple-branded or Android device that you own or control, subject to these Terms.

You may not: (a) reverse engineer, disassemble, decompile, or attempt to derive the source code of the application; (b) sublicense, resell, rent, lease, transfer, or otherwise redistribute the application; (c) make the application available over a network where it could be used by multiple devices at the same time; or (d) create derivative works based on the application.

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms with respect to your use of the iOS application, and that Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

3. Description of Service

Knightly is a chess training application that analyzes your chess games from third-party platforms (such as Lichess and Chess.com), identifies patterns and weaknesses in your play, and provides personalized training exercises to help you improve. The Service may include AI-powered features that explain chess moves and concepts.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Subscriptions and Payments

Knightly offers both free and paid subscription tiers. Paid subscriptions are available on a monthly or yearly basis through the Apple App Store or Google Play Store, depending on your device.

Free Trial: Knightly offers a 2-week free trial for all paid subscription tiers. If you do not cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription at the applicable rate, and your App Store or Google Play account will be charged accordingly.

Auto-Renewal: All paid subscriptions automatically renew at the end of each billing period (monthly or yearly) unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.

Billing: Payment is charged to your Apple App Store or Google Play account at confirmation of purchase. All payments are processed by Apple or Google through their respective app stores. By subscribing, you agree to their payment terms and conditions.

Refunds: Refund requests are handled by Apple or Google in accordance with their respective refund policies. We do not process refunds directly. To request a refund, please contact Apple App Store Support or Google Play Support.

Cancellation: You may cancel your subscription at any time through your device's app store settings (Apple: Settings > Apple ID > Subscriptions; Android: Google Play Store > Subscriptions). Cancellation will take effect at the end of the current billing period. You will retain access to paid features until the end of your current billing period.

6. Usage Limits

Certain features of the Service are subject to usage limits based on your subscription tier:

• Free tier: Analysis of your 40 most recent games.
• Premium tier: Analysis of up to 1,000 games, with re-analysis every 3 months (coming soon).
• AI tier: All Premium features, with re-analysis every 3 months (coming soon), plus AI-powered move explanations limited to 400 uses per month.

We reserve the right to modify these limits at any time. Abuse of the Service, including attempts to circumvent usage limits, may result in suspension or termination of your account.

7. Third-Party Services

The Service integrates with third-party chess platforms, including Lichess and Chess.com, to import your game history. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

By connecting your Lichess or Chess.com account, you authorize us to access your publicly available game data for the purpose of providing the Service.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Trade with Adam LLC and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Your game data and analysis results are yours. We do not claim ownership of your chess games or personal data.

9. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems or software to extract data from the Service
• Impersonate any person or entity
• Share your account credentials with others

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. Chess analysis and training recommendations are provided for educational purposes and may not be perfect or suitable for all skill levels.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADE WITH ADAM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

12. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

You may terminate your account at any time by discontinuing use of the Service and canceling any active subscriptions through your app store.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice (such as in-app notification). Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
